Terms of Service

1. Purpose

These Terms of Service govern access to and use of Velqa, an OpenAI- and Anthropic-compatible API gateway providing access to language models (LLMs) hosted by third-party providers, published by Quantyl Core LLC (“Velqa”, “we”).

2. Acceptance

Creating an account or using the gateway (via an API key) constitutes full acceptance of these Terms of Service, the Terms of Sale and the Privacy Policy. Anyone creating an account on behalf of an organization warrants that they have the authority to bind it.

3. Description of the service

Velqa provides a prepaid, OpenAI-compatible API that routes requests to various open-weight models (Kimi, DeepSeek, GLM, Qwen, and others) via third-party inference providers (DashScope, DeepSeek, Z.ai, DeepInfra, Novita, among others). The service is provided “as is”, with no guarantee of continuous availability of upstream providers.

4. Accounts and API keys

Each user must provide accurate information at sign-up. Accounts are personal and non-transferable. Each API key is the responsibility of its owner: a compromised key must be revoked immediately from the dashboard. The user is solely responsible for the confidentiality of their credentials and any activity performed with their key.

5. Permitted and prohibited use

The following are notably prohibited:

  • any use contrary to applicable law;
  • any attempt to circumvent the gateway's limits, quotas, or security measures;
  • generating illegal, misleading, or manifestly discriminatory content;
  • unauthorized resale of API access or redistribution of a key to third parties;
  • any action intended to overload or disrupt Velqa's infrastructure or that of its upstream providers.

Each model provider retains its own acceptable use policy; Velqa may suspend an account if a user fails to comply with those policies.

6. Intellectual property

Velqa remains the owner of the platform, its code, its brand, and its documentation. The user retains ownership of the data it transmits via the API and grants Velqa a limited, non-exclusive license necessary to provide the service (routing, technical logging, billing).

7. Credits, billing, and refunds

The service runs on prepaid credits. Pricing, payment, and refund terms are detailed in the Terms of Sale and the Refund Policy.

8. Availability and third-party providers

Velqa makes reasonable efforts to ensure the availability of the service but does not guarantee continuous availability of upstream providers. In the event of unavailability, traffic may be rejected or redirected to another model depending on the gateway's configuration (fallback).

9. Liability

To the extent permitted by applicable law, Velqa's total liability under these Terms of Service is capped at the total amount actually paid by the user during the 12 months preceding the event giving rise to liability. Indirect damages, loss of profit, or loss of data are excluded.

10. Suspension and termination

Velqa may suspend or terminate an account in the event of abuse, fraud, non-payment, or violation of these Terms of Service. The user may delete their account at any time. Account data is retained for 30 days after termination for support purposes, then deleted unless a longer legal retention obligation applies.

11. Changes to these Terms

Velqa may modify these Terms of Service at any time. Users are notified by email or dashboard notification at least 30 days before a substantial change takes effect. Continued use of the service after that date constitutes acceptance.

12. Governing law

These Terms of Service are governed by the law of the State of Delaware (United States), without prejudice to the mandatory consumer protection provisions applicable to users residing in the European Union or Morocco. Any dispute will first go through an attempt at amicable resolution via support@velqa.dev.
