Terms of Sale

These Terms of Sale apply to any purchase made on Velqa, a service published by Quantyl Core LLC, whether a purchase of prepaid credits or a plan subscription. They prevail over any conflicting condition from the buyer, unless agreed otherwise in writing beforehand.

Velqa offers two types of purchase, which may be combined:

• prepaid credits: a one-time top-up, added to the account balance and consumed according to actual API usage. Purchased credits do not expire;
• plans (Starter, Dev, Pro): a subscription granting a recurring usage quota. It is billed monthly or, for the Dev and Pro plans, yearly. The Starter plan is monthly only.

The applicable prices are those displayed at the time of purchase. Purchases are denominated in US dollars (USD) and paid by international card via Stripe. Cards issued in Morocco are not accepted: customers established in Morocco buy on velqa.ma, from Quantyl Maroc SARLAU, under its Moroccan terms of sale. Subscriptions are billed in USD via Stripe. An annual subscription is paid in a single upfront charge covering the twelve months of the term.

Banking data is never stored by Velqa: it is processed directly by the chosen payment provider.

A subscription is taken out for the chosen term, one month or twelve months. It renews automatically at the end of that term for another term of the same length, at the rate then in effect, unless cancelled beforehand. The next renewal date is shown in the dashboard.

Cancellation can be made at any time from the billing area of the dashboard. It takes effect at the end of the period already paid for: access and quota are retained until that date, and no pro-rata refund is due for the current period, subject to the case provided for in section 6.

The rate paid is locked for the whole of the subscribed term — twelve months in the case of an annual subscription — even if public rates change in the meantime. A price change only applies from the following renewal and is notified by email or in the dashboard at least 30 days before it takes effect, so that cancellation remains possible before the renewal date.

The price is locked; the contents of the plan are not. Quotas (token caps, 5-hour and weekly windows) and the catalogue of accessible models may change during the subscribed term, in particular when an upstream provider changes its prices or limits, or withdraws a model.

Any substantial reduction of a quota and any withdrawal of a model is notified by email or in the dashboard at least 30 days before it takes effect. If the announced change is unfavourable to them, an annual subscriber may cancel within 30 days of the notification and obtain a pro-rata refund for the months not started.

This 30-day notice cannot be honoured where the withdrawal is imposed on Velqa by the upstream provider, by a legal obligation or by a security requirement. In that case only, notification is given without delay and states the cause; the right to cancel and to a pro-rata refund set out above remains available to the annual subscriber.

The purchase is finalized when the payment provider confirms the transaction (Stripe webhook). Credits are added to the account, or the plan activated, upon confirmation. A confirmation email, as well as the history visible in the dashboard, serve as proof of purchase.

In accordance with the rules applicable to the supply of digital content not provided on a physical medium, the right of withdrawal does not apply once performance of the service (making credits available on the account, or activating the plan) has begun with the customer's express agreement, who acknowledges waiving their right of withdrawal by confirming the purchase.

Unused credits may be the subject of a refund request under the conditions detailed in our Refund Policy. Credits already consumed, corresponding to a properly delivered service, are non-refundable.

Subscription periods already paid for are non-refundable, apart from the case provided for in section 6 and the incidents attributable to Velqa mentioned in the Refund Policy.

Velqa may change its prices or plans at any time for future purchases. Credits already purchased retain the value and conditions in effect at the time of purchase without expiry; they remain available until consumed. Ongoing subscriptions remain governed by section 5.

To the extent permitted by applicable law, Velqa's total liability under a sale is capped at the amount actually paid by the customer during the 12 months preceding the event giving rise to liability. Indirect damages and loss of profit are excluded.

In the event of a dispute, the parties agree to seek an amicable solution within 30 days by writing to [email protected]. Failing an agreement, these Terms of Sale are governed by the law of the State of Delaware (United States), without prejudice to the mandatory consumer protections applicable to consumers residing in the European Union or Morocco.

Page Agent operates in the customer's application under the customer's control. Destructive actions require explicit confirmation; Velqa is not responsible for actions triggered by the customer's end users. The customer remains responsible for its assertion route, authorizations, and data sent to inference providers.
